Terms of Service

1. The Parties

These Terms of Service govern the relationship between Melih Erdem Koçoğlu ("Subsdiary", "we"), operator of the AI-powered customer communication service "Subsdiary" available at subsdiary.online (the "Service"), and the individual or entity using the Service ("you"). By registering for or using the Service, you accept these Terms.

2. Description of the Service

Subsdiary is a SaaS platform that lets businesses automatically respond to customer messages received via WhatsApp and their website using AI, keep track of appointments/leads, and manage related conversations from a single dashboard. The Service is provided with different monthly message quotas and features depending on your chosen plan.

3. Accounts and Responsibilities

• You are responsible for the accuracy and currency of your account information.
• You are responsible for keeping your account credentials (email, password) confidential and for all activity under your account.
• You may not use the Service for anything unlawful, deceptive, spam-like, or that infringes the rights of third parties.
• Sending messages via the WhatsApp Business Platform is also subject to Meta's own usage policies; violation of those policies may cause Meta to restrict your WhatsApp account — Subsdiary cannot be held responsible for that.

4. Subscription, Pricing and Payment

Paid plans are monthly recurring subscriptions. Payments are processed by Paddle.com Market Ltd, who acts as our Merchant of Record; Subsdiary never sees or stores your card details. You may cancel your subscription or downgrade to the free plan at any time from the dashboard; cancellation takes effect at the end of the current billing period.

5. Intellectual Property

Subsdiary's software, design, brand name and logo belong to Subsdiary. The Service grants you a limited, non-transferable right to use it for as long as you comply with these Terms; copying, reverse-engineering, or reselling the software is prohibited. Any content you upload through the dashboard (product/service information, images, etc.) remains yours.

6. Service Limitations and Disclaimer

The Service is provided "as is". We do not guarantee that AI-generated responses will always be accurate or complete; you acknowledge that the Service alone is not sufficient for critical decisions (medical, legal, financial) and that your business should maintain its own oversight. Subsdiary does not guarantee uninterrupted or error-free operation and, to the maximum extent permitted by law, is not liable for indirect damages (lost profits, data loss, etc.).

7. Suspension and Termination

We reserve the right to suspend or terminate your account in the event of a breach of these Terms, misuse, or failure to meet payment obligations. You may close your account at any time.

8. Changes

We may update these Terms from time to time; we will make reasonable efforts to notify you of material changes. The current version is always published on this page.

9. Governing Law

These Terms are governed by the laws of the Republic of Türkiye; the courts and enforcement offices of Türkiye have jurisdiction over any disputes.
